EI Chaparral Neighborhood Area Association (ECNA) By-laws

Article I: Name, Boundaries, Purpose
Section 1: The name of the organization shall be
the EI Chaparral Area Neighborhood Association.
Section 2: The neighborhood shall include the area
known as EI Chaparral subdivision and New Haven Meadows subdivision as recorded
in the Boone County Recorder's office.
Section 3: The purpose of the organization is to
facilitate communication among property owners - and residents of the
area, between the property owners and the builders and developers, and between
the property owners and residents and their local government. Additionally,
its purpose is to identify, consider and take appropriate action on matters of
common interest to enhance the quality of life and to maintain the property
values within the subdivision.
Article
II: Members
Section 1: Every adult resident, owner, absentee owner or renter,
18 years of age and older, of the EI Chaparral subdivision and New Haven Meadows subdivision
may be a member of this organization. Homeowners and property owners and renters are entitled to
one vote regardless of the number of lots owned.
Section 2: Members must be present at Association
meetings in order to vote.
Section 3: ECNA shall request from members pay
annual dues of $15.00 to pay for such things as the newsletter, post office
box, postage, annual cost for bulk mailing, and ECNA sponsored activities. Dues
will be requested for each year at the annual neighborhood meeting to be held
the spring of each year. An up-to-date membership list shall be maintained.
Article
III: Principle Office
Section 1: The principle office of the
organization shall be located at the home of the President.
Section 2: The books and records of the organization
shall be kept at the home of the Secretary.
Article
IV: Meetings and Voting
Section 1: There shall be an annual meeting of the
membership in April of each year to elect officers as necessary and conduct
other business. Members shall be given at least ten (10) days notice of time,
place and agenda
Section 2: Other meetings shall be called by the
President with the concurrence of one other board member, or by petition in
writing of fifteen members. Not less than three (3) days notice, in writing,
shall be given to the membership for other meetings. Members shall be advised
of time, place and agenda of items, which will be voted on at the meeting at
the time of notification. The association shall make reasonable efforts to
notify non-resident members of any meeting.
Section 3: A group of twenty-five eligible voters
constitutes a quorum. A simple majority rule applies except where otherwise
stated.
Section 4: The association
shall also be authorized to solicit contributions (in addition to dues) or
conduct fundraisers. All contributions shall be strictly voluntary.
Section 5: Amendments to
by-laws shall require at least ten days notice that a bylaw change is
contemplated and will require two-thirds majority cast for passage.
Elected officers will be asked to serve at least a two-year term.
Section 1: President - The
President shall preside at all regular and special meetings of the organization
and perform all the duties incident to that office for a period of one year.
Other duties include: plan and preside at and supervise the direction of ECNA
events and committees. He/she shall keep important records while in office. He shall consult with and keep the
Executive Board informed and obtain their approval for all important pending
activities and expenditures. He/she shall review/present a budget for approval
by the Executive Board and the membership early in the year.
Section 2: Vice-President –
The Vice-President is
responsible for assisting/supporting the president in his/her duties. In
the absence of the President, the Vice-President shall perform the duties of
the President.
Section 3: Secretary - The
Secretary shall keep the minutes of all meetings and handle correspondence of
the organization for a period of one year. The secretary shall also work with
area representatives to maintain a current list of all residents and property
owners.
Section 4: Treasurer - The Treasurer shall handle
all funds and accounts of the organization for one year. Any expending of funds
will be handled by the Treasurer and countersigned by another officer of the
organization. The Treasurer
shall prepare a budget for approval by the President early in the year. The Treasurer shall report at all
association meetings and present a report at the annual meeting.
Section 5: Election of
Officers - Officers shall be elected by eligible voters at the annual meeting.
In the event of a vacancy, a meeting must be called within 60 days to fill the
vacancy.
Section 1: Area
Representatives shall be elected by caucus of the residents living within each
area at the annual meeting. Currently eleven (11) areas are defined.
Section 2: Each area
representative will become a member of the ECNA Advisory Board, which will also
include ECNA officers. Each member of the Advisory Board shall have one vote.
Section 3: The Advisory
Board shall have the responsibility of identifying neighborhood problems, needs
and/or concerns and planning the agenda for neighborhood membership meetings.
The area representatives shall furnish the Secretary with a list of members
living within their area. The list shall be revised as changes occur. They
shall also be responsible for delivering the notice of meetings and other
communications to the members living in their respective areas.
Section 4: The area
representatives shall also serve as a nominating committee to present a slate
of officers at the annual meeting. The nominations shall be submitted to the
Secretary at least 30 days prior to the annual meeting. Nominations shall also
be permitted from the floor at the annual meeting.
Section 5 Advisory
Board members will also act as Committee Chairpersons shall coordinate events and
functions pertaining to the nature of their committees in conjunction with the
overall purpose of ECNA. The Chairpersons will collect ideas and suggestions
from the membership and gather volunteers to help organize events. The
Chairpersons will prepare a projection of anticipated expenditures, when
appropriate, and obtain approval from the Executive Board prior to the
sponsored event.
Dissolution Upon dissolution of
ECNA, any assets remaining after payment of debt and liabilities shall be given
to a non-profit community group, as directed by a majority of the Executive
Committee.
